Maritime and transport

The maritime sector is a strategic pillar of international trade, supporting the flow of goods between Morocco, Africa and global markets.

In a context of increasing trade volumes and expanding port infrastructure, maritime operations involve complex legal and contractual frameworks at the intersection of maritime law, international trade, customs regulations and logistics.

These operations typically involve multiple stakeholders — shipowners, charterers, port operators, industrial players and financial institutions — requiring careful coordination of contractual and operational commitments.

HLF International advises clients on the structuring, negotiation and securing of maritime and international trade operations across Morocco and Africa.

Case Study — Structuring of an International Maritime Transaction
Case Study — Structuring of an International Maritime Transaction

HLF International advised an international operator on the legal structuring of a maritime transaction involving multiple jurisdictions and stakeholders.

The transaction involved the negotiation and implementation of a contractual framework covering maritime transport, logistics obligations and the respective commitments of the parties.

The firm was engaged at a key stage to secure the contractual structure and ensure consistency across the documentation.

HLF International conducted a targeted review of the contractual framework to identify key risks, particularly regarding risk transfer, liability, timing and performance conditions.

The firm then assisted in structuring and negotiating the agreements, focusing on:

■ clarifying each party’s obligations

■ securing risk allocation and liability mechanisms

■ defining transport and delivery conditions

■ organising remedies in case of non-performance

Particular attention was given to ensuring consistency across the contractual arrangements and to managing the multi-jurisdictional aspects of the transaction.

HLF International also supported the client in coordinating stakeholders, contributing to the implementation of a robust and operational contractual framework.

Key issue: securing a cross-border maritime transaction involving complex contractual and logistical flows.
